TERMS OF SERVICE
These Terms govern the provision of access to Caliber’s Real-Time Tracker online dashboard, granted to you and/or your company by Group Caliber ApS (“Caliber”). If another agreement exists between you and Caliber regarding a Real-Time Tracker subscription, the terms of that agreement take precedence over these Terms. See Section 13.1 for further details.
These Terms may be updated from time to time as explained in Section 13.4.
1. Acceptance of Terms
Please read these Terms of Service (“Terms”) carefully before using portal.groupcaliber.com (the “Website”). The Terms take effect when you click the “Submit” button having checked the box marking acceptance of these Terms or, if earlier, when you use the Website. You represent to us that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are agreeing to these Terms for an entity, such as the entity you work for, you represent to us that you have legal authority to bind that entity. For purposes of these Terms, “you” means you and the entity you represent and also refers to any person accessing the Services by any method on your behalf.
2. Description of Caliber’s Services
2.1 Caliber (“we” or “us”) provides “Subscription Services”, consisting of digital access to an online dashboard presenting research output. The output is collected, analyzed and visualized through the use of proprietary software programs developed by us that facilitate and automate the process of conducting stakeholder research (“Software”). Subscription Services are specified in a service order (“Service Order”) and are purchased on an annual or multi-year basis as set forth in a Service Order;
2.2 For the purpose of these Terms, data includes all survey responses, reports, metrics, output and any other information generated for your needs and provided to you in connection with the Subscription Services (“Data”).
2.3 Subject to your compliance with these Terms and your payment of any applicable fees, Caliber grants you a non-exclusive, non-transferable, royalty-free, revocable license to use the Subscription Services and Data for your own internal business purposes.
2.4 Caliber may make modifications to the Subscription Services at any time, as it deems appropriate, and in its sole discretion.
2.5 Caliber may at any time deny delivery or cancel the ongoing delivery of free Subscription Services should we evaluate that such delivery is not feasible or difficult due to reasons such as, but not limited to, low familiarity of the companies measured, unreasonably high data collection costs, unavailability of online general public panels in the selected country or other reasons we consider relevant.
3.1 During the term of the Subscription Services (“Term”), you will pay us the fees and charges specified on the applicable Service Order or SOW. You are responsible for all applicable taxes on the fees and charges paid by you, including, without limitation, any and all sales, use, and value-added taxes but not any taxes imposed on Caliber’s income.
